Prize Draw Official Rules

NOTTING HILL CARNIVAL CONTEST

VF NORTHERN Europe Limited, whose registered office is at 15, Atholl Crescent, Edinburgh, EH3 8HA, United Kingdom (hereinafter the "Promotion Company") in cooperation with VF International SAGL, whose registered office is at Via Laveggio 5- 6855 Stabio, Suisse – VAT No. CHE-111.650.898, is organizing a Prize Draw called " Notting hill carnival contest" (the "Prize Draw").

Entry into the Prize Draw is free and no purchase is necessary, however, the Prize Draw requires participants to have access to the internet and their own Instagram account (the use of which is subject to Instagram’s own terms and conditions).

If Entrants do not have the Instagram application, they may download it through the application store on their device. The Instagram application is free.

By entering into the Prize Draw, participants will be deemed to have agreed to be bound by these Prize Draw Rules.

Promotional Period
The Prize Draw runs from 16/08/2024 GMT+1 at [5PM] to 23:59 GMT+1 on 21/08/2024 (the "Promotional Period").

Eligibility
Entry into this Prize Draw is open only to participants who are at least eighteen (18) years of age and who are resident in the United Kingdom (hereinafter “Entrant/s”).

How to enter the Prize Draw

To participate in the Prize Draw, Entrants must access the Instagram application on their device, follow the Instagram accounts @Timberland and @uniformdisplay, tag two (2) friends and leave a Comment under the dedicated post to the Prize Draw (hereinafter “Comment/s”).

Each Comment shared on Instagram via an Entrant's own account with the required tags and complying with these Prize Draw Rules, will be considered an entry into the Prize Draw (“Entry”). Entrants can Comment on the dedicated post more than once, however, only the first Comment will be deemed an Entry to the Prize Draw.

Standard data fees may apply when entering the Prize Draw via Instagram. Entrants should consult their network provider's pricing plan for details. Entrants agree to incur any and all charges charged by their network provider and the Promotion Company shall in no way be liable to Entrants for the same.

Restrictions
Entrants may enter the Prize Draw only once (1) during the Promotional Period.

Employees of the Promotion Company and all those involved in the organization and management of the Prize Draw are not allowed to enter the Prize Draw.

The Comment must not, and the Entrant agrees that the Comment shall not:

infringe on another person's or entity's copyright, trademark, moral right, right of privacy or publicity, or other intellectual property right;
include third party brand products, competing brands, other names and logos, phrases or objects which are irrelevant to the Prize Draw;
contain material that is inappropriate, indecent, obscene, hateful, tortious, defamatory, slanderous, libelous, promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age;
disparage or damage the goodwill and/or business reputation of the Promotion Company or Timberland’s brand; or
contain material that is unlawful, in violation of or contrary to the laws or regulations of England and Wales or of any jurisdiction where the Comment is created.

The Promotion Company reserves the right to reject or disqualify any Comment which, in its sole discretion, it determines to be inconsistent with the spirit of the Prize Draw or is potentially damaging to either the Promotion Company, Timberland, the Prize Draw, or any other third party's image or reputation.

If the Promotion Company decides to reject or disqualify the Comment as it is found to be contrary to these Prize Draw Rules, the Entrant shall lose his/her chance of winning one of the prizes on offer under the Prize Draw.

Moderating
Every shared Comment will be moderated. The Promotion Company reserves the right to refuse entry to Comments in each case which:

breaches any of the restrictions set out in the section named “Restrictions” above;
are out of keeping with the spirit of the Prize Draw Rules in the Promotion Company's sole opinion (including content which the Promotion Company reasonably deems offensive and/or inappropriate); and
are designed to promote or publicise any brand, product, service or business activity other than that of the Promotion Company and/or which is unrelated to the Prize Draw;

Only if the Comment is judged suitable by the Promotion Company's moderators, shall it be deemed to be an Entry into the Prize Draw.

Prize

There will be two (2) prizes awarded as part of the Prize Draw and will be awarded in accordance with the section named “The method for awarding prizes” below. Each winner receives one (1) prize.

Each prize consists of 2 pairs of Timberland® Authentic Boat Shoe 3-eye and 2 Cleaning kits per winner.

The approximate value of the Prize is £ 430 per winner.

The Approximate Retail Value (“ARV”) of any Prize listed is subject to price fluctuations in the consumer marketplace based on, among other things, any gap in time between the date the ARV is estimated for purposes of these Prize Draw Rules, and the date the prize is awarded or redeemed. If the actual purchase price of the Prize is less than the ARV stated herein, the prize winner will not be entitled to a cheque, cash or other form of payment for the price difference.

The Prize cannot be redeemed or exchanged for cash.

If the winner chooses not to accept the Prize, for whatsoever reason, the winner shall not be entitled to any substitute prize and is not entitled to claim any refund and/or compensation against the Promotion Company.

The Prize is not transferable to any other person, and no cash or other alternative arrangements will be offered.

The Promotion Company is not responsible if the event is delayed, postponed or cancelled due to events outside of its reasonable control, in which case the Prize is forfeited in its entirety and no substitution will be provided, except at the Promotion Company’s sole discretion. In such event, the Promotion Company shall have the option, in its sole discretion, to substitute a different Prize.

In the event that on the date of the event, the winner and their guest fail to attend, the Prize shall be considered as having been entirely awarded and no further Prize shall be due.

The winner and their guest must attend the event together.

The method for awarding prizes:

By 23/08/2024 the Promotion Company will select two (2) winners at random by computer from all valid entries that have complied with the Prize Draw Rules.

The Promotion Company will also select five (5) runners-up at random by computer after the winner is selected.

A runner-up shall only be used if a winner fails to claim the prize in accordance with these Prize Draw Rules or is disqualified from the Prize Draw for non-compliance with the Prize Draw Rules.

The selection of the winners and runners-up is final and cannot be contested unless the Promotion Company has breached the Prize Draw Rules.

Notification to the winners

The winners will be notified of their win by receiving a direct (private) message over Instagram requesting their complete contact details

The winners will have two (2) calendar days from being notified of the win to reply to the notification message accepting the Prize and to provide all the information requested by the Promotion Company.

If the potential winners within two (2) calendar days of the first notification attempt does not reply to the message, fails to provide the information requested, or if any Prize or Prize notification is returned as undeliverable, or if the potential winner rejects his/her prize, or in the event of noncompliance with these Prize Draw Rules and requirements, such prize will be forfeited and may be awarded to a runner-up.

The first runner-up will be contacted in the same manner as described above and, if necessary, the process will be repeated until the prize is finally awarded to a runner-up.

In the event that having followed the awarding process described above, a prize cannot be given to a winner or runner-up, the Promotion Company reserves its right not to award said prize.

Upon prize forfeiture, no compensation will be given.

The Promotion Company reserves the right to require winners to provide a valid form of identification proving their age and identity before receiving their prize. Any identity verification document produced must be in the name of the person who has entered the Prize Draw.

Personal Data:
The processing of any personal data of Entrants, as necessary to enable the participation to the Prize Draw, will be carried out by the Promotion Company, in its capacity as Data Controller. Furthermore, upon prior express consent from the relevant Entrant, personal data may be processed for profile-based marketing purposes by Promotion Company’s affiliate entity VF International Sagl, with registered offices in 5, Via Laveggio, 6855, Stabio, Switzerland, in its capacity as Data Controller.

Consent to the processing for profile-based marketing activities is optional, and a denial will not negatively affect participation to the Prize Draw.

Personal data will be processed in compliance with the current laws and regulations applicable to the processing of personal data, including the Data Protection Act 2018 and EU General Data Protection Regulation N. 679/2016 (GDPR) and retained for the time necessary to fulfill the data processing purposes herein described, except when longer or shorter retention periods are provided for by law.

General:
The Promotion Company reserves the right, in its sole discretion, to cancel, terminate, modify, extend or suspend this Prize Draw or Prize Draw Rules should (in its sole discretion) virus, bugs, non-authorized human intervention, fraud or other causes beyond its reasonable control corrupt or affect the administration, security, fairness or proper conduct of the Prize Draw. In such case, the Promotion Company may select the winner from all eligible Entries received prior to and/or after (if appropriate) the action taken by the Promotion Company.

To the extent permitted by law, upon suspension or cancellation, the Promotion Company cannot be held liable for any expenses incurred or damages suffered, whether direct, indirect, consequential or inconsequential, and the Promotion Company shall not be obliged to organize any alternative Prize Draw or offer any alternative prize.

In the event of unforeseen circumstances, or circumstances outside of the Promotion Company's reasonable control, the Promotion Company reserves the right to amend, withdraw or substitute any part of this Prize Draw and/or prize for a reasonable alternative.

The Promotion Company may prohibit an Entrant from participating in the Prize Draw or winning a prize if, in its sole discretion, it determines that said Entrant is attempting to undermine the legitimate operation of the Prize Draw by cheating, hacking, deception, or other unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other Entrants or Promotion Company representatives.

Multiple Entrants are not permitted to share the same Instagram account. Any attempt by any Entrant to obtain more than the stated number of entries by using multiple/different Instagram accounts, identities or any other methods will void that Entrant's entries and that Entrant may be disqualified. Use of any automated system to participate is prohibited and will result in disqualification. In the event of a dispute as to any Instagram account, the authorized account holder will be deemed to be the Entrant. The “authorized account holder” is the natural person assigned an account by Instagram. Each potential winner may be required to show proof of being the authorized account holder.

The Promotion Company is not responsible for any technical problems or human error that may result in a Comment not being received or being lost or damaged or for any destruction or alteration of, or unauthorized access to, Prize Draw registrations and Entries.

The Promotion Company reserves the right, at any time, to verify the validity of Comments and Entrants (including an Entrant's identity, age and place of residence) and to disqualify any Comment that is not in accordance with these Prize Draw Rules.

Save where the Promotion Company has been negligent, and to the extent permitted by law, the Promotion Company shall in no way be liable for any injuries, losses, damages or expenses suffered or incurred by any winner of the Prize Draw, as a direct or indirect result of participating in this Prize Draw and/or accepting a prize.

The Promotion Company’s decision is final. No correspondence will be entered into except with the winners to notify them that they have won and to provide the prizes.

The Promotion Company shall make the name of the prize winner available upon request for 60 days after the Promotional Period has closed.

The prizes quoted are subject to availability and, in the event of unforeseen circumstances, or circumstances outside of the Promotion Company reasonable control, the Promotion Company reserves the right to amend, withdraw or substitute any part of this Prize Draw and/or prize for an alternative arrangement of equal or greater value.

The prize is not transferable, and no cash or other alternative arrangements will be offered.

Failure by the Promotion Company to enforce any of its rights at any stage does not constitute a waiver of those rights.

This Prize Draw is in no way sponsored, endorsed or administered by, or associated with, Instagram.

Winners will be solely responsible for all applicable taxes relating to their prize.

If any term of these Prize Draw Rules shall be found to be void or contrary to law, such section shall be considered invalid, but all unaffected sections shall remain in effect.

These Prize Draw Rules shall be governed by the laws of England and Wales and the courts of England shall have exclusive jurisdiction.
